4. SERVICES
4.1 Service Engagement
Our services are governed by the specific terms set out in individual service agreements entered into between Al-Enjaz and each client. These Terms apply generally to all engagements and should be read in conjunction with any specific service agreement.
4.2 Service Scope
The scope, deliverables, timelines, and commercial terms of each service engagement will be defined in a formal proposal, agreement, or purchase order. Al-Enjaz will not be bound by any service obligation beyond what is expressly stated in a signed agreement.
4.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any service offering at any time. Where services are already contracted, any material modification will be communicated in writing and managed in accordance with the terms of the relevant agreement.
4.4 Third-Party Involvement
Al-Enjaz may engage subcontractors, consultants, or third-party service providers to assist in delivering contracted services. We remain accountable to our clients for the overall quality and delivery of services under such arrangements.
5. FEES, INVOICING & PAYMENT
Commercial terms including fees, payment schedules, and invoicing arrangements are specified in individual service agreements. The following general principles apply:
All fees are stated in the applicable currency agreed in the service contract, exclusive of any applicable taxes unless otherwise stated.
Invoices are payable within the period specified in the service agreement. Late payments may attract interest or service suspension at our discretion.
Al-Enjaz reserves the right to withhold or suspend services in the event of material non-payment.
Any disputes relating to invoiced amounts must be raised in writing within 14 days of invoice receipt. Undisputed amounts remain due and payable on their original due date.
Bank charges, transaction fees, or currency conversion costs are the responsibility of the paying party unless otherwise agreed.

7. CONFIDENTIALITY
Each party agrees to treat as confidential any proprietary, commercial, technical, or operational information disclosed by the other party in connection with a service engagement. Confidential information must not be disclosed to third parties without prior written consent, except where required by law or with the disclosing party’s prior approval.
This obligation of confidentiality survives the termination of any service engagement and remains in force for a period of three (3) years unless a separate non-disclosure agreement specifies otherwise.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law:
Al-Enjaz shall not be liable for any indirect, consequential, incidental, special, or punitive losses or damages arising from the use of our website or services.
Our total aggregate liability in connection with any service engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the three (3) months preceding the event.
We do not exclude liability for death or personal injury caused by our negligence, fraud, or any other matter that cannot be excluded by law.
Al-Enjaz makes no warranties, express or implied, regarding the accuracy, completeness, or suitability of website content for any particular purpose beyond what is expressly stated in a service agreement.

10. TERMINATION
Either party may terminate a service engagement in accordance with the termination provisions set out in the relevant service agreement. In the absence of specific agreement terms:
Either party may terminate for material breach upon 30 days’ written notice, if the breach is not remedied within that period.
Either party may terminate immediately upon written notice in the event of insolvency, liquidation, or cessation of business by the other party.
Upon termination, all outstanding fees for services rendered remain due and payable. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.

Al-Enjaz shall not be liable for any failure or delay in the performance of its obligations arising from circumstances beyond its reasonable control, including but not limited to acts of God, war, civil unrest, government action, natural disasters, power failures, or other events constituting force majeure. In such circumstances, Al-Enjaz will notify the affected client promptly and endeavour to resume performance as soon as reasonably practicable.
12. GOVERNING LAW & DISPUTE RESOLUTION
These Terms and any service engagements are governed by the laws of the Republic of Iraq. Any disputes arising from or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be subject to the jurisdiction of the competent courts of Iraq, unless a specific arbitration or alternative dispute resolution mechanism is agreed in the applicable service agreement.

Al-Enjaz reserves the right to amend these Terms at any time. Updated Terms will be published on this website with a revised effective date. Your continued use of the website or services following such publication constitutes your acceptance of the revised Terms.
